The Company was formed as a Texas corporation in September 2012. The Company's principal founder, Sam Shortes, assigned to the Company all interest in the research he had conducted into cold plasma over the past several decades and his ideas for commercializing the technology. He recruited three additional Company founders. After putting together a preliminary business plan, they raised the necessary capital to evaluate the range of potential applications, to establish contractual relationships with the universities and academicians who serve as technical resources to the Company, and to develop a proof of concept device. The Company's board of directors presently consists of Mr. Shortes, Tom Moore (another founder and a J.D./M.B.A.), Bryan Turner (also a founder and holding degrees as both a medical doctor and a veterinarian), Dennis Costa (an oncologist who has invested in the Company), and Paul Lehr (an experienced business executive who has built companies around innovative products in the foodservice equipment industry). The directors own a substantial majority of the Company's capital stock.
